Basic requirements for becoming agent (hereinafter referred to as Party B) now:

1.  Party B has been formally registered in Industrial and Commercial Administration Bureau. The company has a large scale in relevant industry in local place.

★  The regional general agent or office has the current funds not less than RMB 600,000 Yuan; first grade agent has the current funds not less than RMB 500,000 Yuan; second grade agent has the current funds not less than RMB 200,000 Yuan.

★  The regional general agent or office picks up the goods of 200 sets for the first time, after that, the sales volume is 500 sets monthly, and trial period is three months. If the task is not completed, the qualification of general agent is automatically cancelled. If the annual sales volume exceeds 5,000 sets, the agent obtains a return of 4% profit, and if the annual sales volume exceeds 7,000 sets, it’s 5%.   

★      First grade agent: picks up the goods of 100 sets for the first time, after that, the sales volume is 300 sets monthly, and trial period is three months. If the task is not completed, the qualification of first grade agent is automatically cancelled. If the annual sales volume exceeds 4,000 sets, the agent obtains a return of 2% profit, and if the annual sales volume exceeds 6,000 sets, it’s 3%.

★      Second grade agent: picks up the goods of 50 sets for the first time, after that, the sales volume is 200 sets monthly, and trial period is three months. If the task is not completed, the qualification of second grade agent is automatically cancelled. If the annual sales volume exceeds 2,500 sets, the agent obtains a return of 1% profit, and if the annual sales volume exceeds 4,000, it’s 2%.   

★     Party B makes sure that berth locks are the main business of the company. There are at least two full-time business personnel competent for business development to take charge of the sales of berth lock products. They can introduce products, answer technical questions, and engage in product installation & debugging and after-sales services.

The agent has a strong sense of brand, shows recognition of our company’s products, and accepts our company’s management regulations.   
  

★  The agent is familiar with property industry, property management industry, traffic management and other relevant industries

★  After joining us, the agent shall not join a chain organization of other products of the same kind   
 
★  The company which acts as agent of our company’s products shall not operate berth locks of other brands or counterfeit “Anyun” brand berth locks       
 
★  The agent shall not disclose the agency price of “Anyun” brand berth locks to a third party   
   
★  The agent strictly follows our company’s marketing strategy and price system; trans-regional sales is not allowed; the agent conducts supervision over other agent’s changing goods or not following our company’s marketing strategy and price system.

★  The agent conscientiously safeguards our company’s intellectual property right and enterprise & product image, the agent shall not damage our company’s intellectual property right or enterprise & product image, and also cooperate with our company in supervising the acts above-mentioned, reporting and cracking down upon the acts of infringing on rights and interests of Shenzhen Anyunxing Safety Equipment Co., Ltd

★  The agent betimes communicates the circumstances collected about the distribution, sales of retailers, stock, goods return (opinion feedback) and the sales of other berth locks on the market in the region of agency to our company regularly every month.
   
★  In case of breach of contract, our company will stop goods supply based on specific circumstances, and terminate agency agreement, etc. For the agent’s seriously damaging our company’s interests, image and intellectual property right, etc, our company will deal with the acts by legal process, and claim for a compensation of more than 5 times the value of goods supplied for economic losses
